Is It a one-time fee?

Yes, the incorporation service is a one-time payment. However, to maintain your corporation's active status, you must meet yearly requirements:

  • Annual Return: Must be filed with the PEI Corporate Registry every year within 60 days of your incorporation anniversary.
  • Good Standing: This filing confirms your company is active and keeps it in "Good Standing" to avoid administrative dissolution.

    When incorporating, a company is assigned an incorporation number by the province. If you choose not to reserve a custom name, this number becomes its official name—for example, 1234567 P.E.I. Inc.

    • Downside: It lacks a marketable brand name for public use, though you can register a Trade Name later.

    A Numbered Corporation does not have a custom name; instead, a number is assigned automatically (e.g., 1234567 P.E.I. Inc.).

    Why name approval is required?
    A Name pre-approval (also known as name request) is required for the use of any name (other than a person's given name) as the name of a company (proprietorship, partnership, society, cooperative or corporation). The name request is the first step in the process of registering a business name with the Province of PEI.
    Any rules for corporation's name?
    Generally a name should have two elements: distinctive and descriptive. The distinctive element can't be common English word, it has to be unique or made up words while descriptive element can be common English words. An example is "Mike Construction". In this name 'Mike' is the distinctive/unique element; 'Construction' is the descriptive element. Put your ideal name, if doesn't work, we will guide you.
    Which Legal Ending to choose?

    Every corporation in PEI must have a legal suffix to indicate its status as a limited liability entity. Under the Business Corporations Act, you may choose from the following 6 options:

    • Incorporated / Inc.
    • Limited / Ltd.
    • Corporation / Corp.

    Note: All of these carry the exact same legal weight. You should simply choose the one that sounds best with your business name.

    Is there any guidelines for names?

    A corporation’s name in PEI must be unique and generally requires three specific components to be approved by the Registry:

    1. Distinctive Element: A unique word or "coined" term that identifies your brand (e.g., "Island" or "XYZ").
    2. Descriptive Element: Words that describe the nature of your business activities (e.g., "Consulting" or "Fisheries").
    3. Legal Element: A mandatory corporate designation (e.g., "Inc." or "Ltd.").

    What is a numbered company with a trade name?
    The biggest advantage of a numbered company is skipping the PEI Name Request step, making incorporation faster and less expensive. This disadvantage (no brand name) is easily resolved by adding a Trade Name. The legal name remains the number, but the public-facing name is the trade name (e.g., 1234567 P.E.I Ltd. operating as Mike Construction).
    What are the benefits of a trade name?

    A Trade Name allows your corporation to conduct business under a name other than its legal registered name. Key benefits include:

    • Branding: Allows for a shorter, more memorable name for websites, signage, and marketing.
    • Flexibility: One corporation can register multiple trade names to operate different business lines under a single legal entity.

    Timeline: By law, any change to the registered office address must be reported to the Registry within 15 days of the move. Many businesses start with a service address and transition to their own commercial location as they grow.

    Each director has equal power and control over the corporation (exercised by majority vote). Directors are responsible for managing the corporation's business and affairs.

    What are the requirements to be a director?

    What does shareholder mean?

    In simple terms, shareholders are the owners of a corporation. Ownership is determined by the number of shares each person holds.

    If a corporation has one shareholder, that person owns 100% of the corporation, regardless of how many total shares are issued.

    How to set up share class?

    Share classes determine the rights and privileges of shareholders, such as voting rights and dividend rights.

    Example: A corporation has two shareholders: John and Mike.

    • Case 1: If both owners should have voting rights, assign Class A shares to both John and Mike.
    • Case 2: If only John should have voting rights, assign Class A shares to John and Class B shares to Mike.
    How to set up share number?

    Share numbers must be assigned as whole numbers. Decimal values are not allowed.

    • Case 1: If John, Mike, and Ali each own the same percentage of the corporation, assign the same number of shares to each person.
    • Case 2: If John owns 40%, Mike owns 30%, and Ali owns 30%, assign:

    • Case 3: If ownership percentages include decimals, avoid them by scaling the proportions. For example, if ownership is 51%, 24.5%, and 24.5%, you may assign:

    Because PEI uses the Harmonized system, there is no separate "provincial-only" tax account. Registration for the federal HST account covers your provincial obligations.

    Why official email is needed?
    The company's official email is added to the company profile. Your corporation's notifications, warnings, and messages from the government (PEI Registry, CRA, etc.) go directly to this email address.
    What is an officer's role?
    The corporation's officers (President, CEO, VP, Secretary, etc.) are appointed by the directors to manage the business's daily operations. They are given legal authority to act on the corporation's behalf in almost all lawful business-related activities.
    Can one individual be in multiple roles?
    Yes. Most corporations, in the beginning, assign a single individual in multiple roles (Director, Incorporator, Officer, and Shareholder). With the growth of the company, these roles can be re-distributed among other individuals.
    What are the usual positions/designations?
    Normally, the designations 'President' or 'CEO' is assigned to the primary director or the most important individual. The next roles are VP, Treasurer, Secretary, Administrative Assistant, etc.

    Who needs a payroll account?

    If you hire employees (including yourself if you intend to pay yourself a salary), you need a Payroll Account Number (RP0001) from the CRA.

    • Note: Even if you do not have external employees, your own salary or a family member's salary can be processed through this account for tax planning and RRSP contribution benefits.
    What is import account?

    If your business involves importing physical goods from outside Canada for commercial use, an Import Account (RM0001) is required.

    What is share certificate?

Most people choose 5 share certificates to save costs; some choose 10 or 20. It includes blank certificates in case you want to add a spouse, child or friend as a shareholder in future.
    Do I need a corporate seal?
    While not legally required by the Prince Edward Island Business Corporations Act, a corporate seal is a tool used to stamp or emboss a company's important documents (contracts, minutes, leases) to show that the document is certified by the corporation's Board of Directors.
