Note: All BC companies must file an Annual Report with the BC Corporate Registry each year to maintain "active" status. This filing incurs a mandatory government fee, which is independent of our service fees.

Are the corporate documents legally valid?

Absolutely. Your Certificate of Incorporation and Notice of Articles (BC's equivalent to Articles of Incorporation) are issued directly by the official BC Corporate Registry under the Business Corporations Act (BCA).

How will I receive the documents?

What is the BC Company Password?

The BC Company Password is a secure access code issued by BC Registries and Online Services. It is required to log in to the Corporate Online system to perform essential tasks, such as:

    What is a numbered company?

    When incorporating, a company is assigned an incorporation number. If you choose not to reserve a custom name, this number becomes its official legal name—for example, 987654 B.C. Ltd.

    • Advantage: It skips the mandatory BC Name Request (Name Approval) process, which saves time and reduces registry fees.
    • Downside: It lacks a unique, marketable brand name for public use, marketing, or signage.
    What is a Named Corporation?

    A Named Corporation allows you to select a custom business name - e.g., Johnson Car Wash Ltd.

    A Numbered Corporation does not include a custom name. Instead, a number is assigned by the BC Corporate Registry - e.g., 12345678 B.C. Ltd.

    Why name approval is required?

    A Name Request (NR) is required for the use of any custom name as the name of a company. This is the first step in the process of registering a business name with the BC Registry Services.

    What Is an Address Service?

    The Address Service is an annual solution for corporations that do not have a local physical office in British Columbia. It ensures you remain compliant with the Business Corporations Act by providing a valid physical delivery address where legal process can be served and public records can be accessed.

    This service can be renewed yearly for a similar fee. Any government or official corporate-related mail received on your behalf will be scanned and emailed directly to you.

    How can I change my address in the future?

    You can update your corporation’s registered or records office address at any time by filing a Notice of Change via the BC Corporate Registry's "Corporate Online" system.

    Many businesses initially use a residential address during incorporation and update it later once they acquire a permanent commercial or office location. Remember, if you move your records, you must update the registry immediately to ensure the public can still locate your records office.

    Each director has equal power and control over the corporation’s management decisions (typically governed by majority vote). Directors are responsible for managing, or supervising the management of, the corporation's business and affairs.

    Corporate By-laws (or company constitution) are the internal rules, rights, and policies set by a corporation.     May I customize share classes?

    Yes, the expense is tax creditable. When you incorporate a company, the expenses are called business development expenses which are tax creditable.

    What is share and why need it?

    Shares are classified to define owner rights. Class A common voting share owners have voting rights to change the corporation's policies and rules.     What does shareholder mean?

    In simple language, the shareholders are the owners of the corporation. If a corporation has one shareholder, regardless of the number of shares issued, that single shareholder owns 100% of the corporation.

    How to set up share class?

    Share classes determine the rights and restrictions attached to ownership. For example:

    • Case 1 (Equal Rights): Both owners have rights to vote. Assign Class A (Voting Common) to both John and Mike.
    • Case 2 (Flexible Control): Only John has voting rights. Assign Class A (Voting) to John and Class B (Non-Voting) to Mike.

    Note: You must define the rights, privileges, and restrictions for each class in your company's Articles.

    How to set up share number?

    Share numbers must be whole numbers and cannot contain decimals.

    • Equal Split: If John, Mike, and Ali own the same percentage, assign the exact same number to each (e.g., 100 shares each).
    • Fixed Percentages: If John owns 40%, Mike owns 30%, and Ali owns 30%, assign 40 shares to John, 30 to Mike, and 30 to Ali.
    • Scaling to Avoid Decimals: If the ownership split results in decimals (e.g., 51%, 24.5%, 24.5%), scale up the total to avoid fractions. In this case, assign 102 to John, 49 to Mike, and 49 to Ali.
    Can I change share details in future?

    Yes. You can change share prices, share numbers, and shareholders at any time. However, these changes must be officially recorded in your Central Securities Register (which must be kept at your Records Office) and, if applicable, updated in your Transparency Register.

    Significant changes to your share structure may also require an Alteration of Articles filed with the BC Registry.

    Who needs a GST/HST account?

    Crucial 2026 Update:

    • Expanded Service Base: Effective October 1, 2026, B.C. has expanded the PST to cover several professional services, including accounting and bookkeeping, architectural, engineering, geoscience, non-residential real estate services, and security services.
    • Mandatory Registration: If you provide these newly taxable services, you are required to register to collect and remit PST. Registration for affected businesses may begin as early as April 1, 2026.
    • Exemptions: Small sellers in B.C. with under $10,000 in gross annual revenue who operate without established premises are generally exempt from the standard PST registration requirement.

    What is an officer's role?
    The corporation's officers (President, CEO, VP, Secretary, etc.) are appointed by the directors to manage the business's daily operations. They are given legal authority to act on the corporation's behalf in almost all lawful business-related activities.
    Can one individual be in multiple roles?
    Yes. Most corporations, in the beginning, assign a single individual in multiple roles (Director, Incorporator, Officer, and Shareholder). With the growth of the company, these roles can be re-distributed among other individuals.
    What are the usual positions/designations?

    Who needs a payroll account?

    You need a Payroll Account Number (RP0001) if you are an employer, trustee, or payer of amounts related to employment. This includes hiring employees or paying yourself a salary or bonuses through the corporation.

    • Tax Planning: Even if you do not have external employees, you can process your own salary or a family member's salary through this account to utilize tax-planning strategies, provided they are actively engaged in the business.
    • Registration: You must register before the first remittance due date (the 15th day of the month following your first payroll remittance).
    What is import account?

    If your business involves importing physical goods from outside Canada for commercial purposes, you require an Import/Export (RM) account.

    As of 2026, the Canada Border Services Agency (CBSA) uses this account, which is linked to your 9-digit Business Number (BN), to process customs clearances, track duties, and manage taxes via the CARM Client Portal.

    What is export account?

    If your business involves exporting physical goods outside of Canada, you are required to have an active Import/Export (RM) account identifier. The CBSA uses this account to process and track your required export documentation and declarations.

    Do I need WorkSafeBC registration?

    Registration with WorkSafeBC is mandatory for most employers in B.C. within 10 days of hiring your first worker.

    • Incorporated Companies: If you are an owner, director, or shareholder actively involved in your B.C. corporation, you are generally considered a "worker." Therefore, the corporation must register for coverage even if you are the only person working for the firm.
    • Coverage: It provides mandatory no-fault insurance that protects employers from lawsuits while providing medical and wage-loss benefits to injured workers.
    Important: If you are a self-employed sole proprietor or partner and do not hire any workers or unregistered contractors, registration is not mandatory. However, you may apply for Personal Optional Protection (POP) to cover yourself if you wish.
