  • Nunavut Name Request & Approval: Formal search and reservation through Legal Registries.
  • Custom By-laws & Resolutions: Tailored governing documents for your internal records.

  • WSCC Registration: Mandatory worker safety compliance for Nunavut employers.

Can I get help placing an order?

Yes! Our customer service team is available to offer general assistance (note: we do not provide legal advice).

You can reach us by phone at 867 (or your provided support line) during business hours for technical help with your filing.

Is It a one-time fee?

Yes, the incorporation is a one-time payment. However, to maintain your company's active status, you must meet annual requirements:

  • Annual Return: All Nunavut companies must file an Annual Return with the Nunavut Legal Registries each year.
  • Active Status: This filing verifies your current directors and addresses to keep the corporation in "Good Standing."
Are the corporate documents legally valid?

Absolutely. The Certificate of Incorporation and Articles of Incorporation are official legal documents issued by the Nunavut Legal Registries under the Business Corporations Act (BCA).

Our team drafts all supporting resolutions to ensure they meet the specific legal standards of the territory.

How will I receive the documents?

You can place an order online using a credit card or e-transfer. Once processed, we register the company and deliver your documents—including the Certificate and Articles—via secure digital delivery.

Do you offer post-incorporation services?

We provide three maintenance options for Nunavut companies to ensure long-term compliance:

  • Annual Return Filing: We submit your required annual corporate report to the Nunavut Registry.
  • Phone Support: Assistance with corporate questions and record updates throughout the year.
  • Complete Maintenance: Includes the Annual Return, Phone Support, and filing Notices of Change (e.g., for new directors or address updates).

    What is a numbered company?

When incorporating, a company is assigned an incorporation number. If you choose not to reserve a custom name, this number becomes its official name—for example, 1234 Nunavut Limited.

    • Advantage: It skips the mandatory Name Request (Name Approval) process, which saves time and reduces costs.
    • Branding: While it lacks a marketable name, you can operate under a "Trade Name" later if you wish to have a public-facing brand.
    What is a Named Corporation?

A Named Corporation allows you to select a custom business name (e.g., Johnson Car Wash Ltd.). This requires a name search and approval from the territory.

    Why name approval is required?

A Name Reservation (pre-approval) is required for any company using a word name. This is the mandatory first step in the process of registering a business with Nunavut Legal Registries.

    • Uniqueness: It ensures your name is not identical or confusingly similar to any existing business or trademark in the territory.
    • Validity: Once granted, your name is reserved for a 90-day period, giving you time to file your Articles of Incorporation.
    Any rules for corporation's name?

Generally, a name must have two primary elements: Distinctive and Descriptive.

    • Distinctive Element: Must be a unique or made-up word (e.g., "Tundra"). It cannot be a common dictionary word used on its own.
    • Descriptive Element: Common words that describe what your business does (e.g., "Consulting" or "Construction").
    • Example: In "Tundra Construction," "Tundra" is the distinctive part and "Construction" is the descriptive part.
    Which Legal Ending to choose?

Every corporation in Nunavut must have a legal designation at the end of its name to indicate it is a limited liability entity. You can choose from the following 6 standard options:

    • Ltd. / Limited
    • Inc. / Incorporated
    • Corp. / Corporation

All of these have the same legal meaning. You should choose the one that looks and sounds best with your chosen business name.

Is there any guidelines for names?

A corporation’s name in Nunavut generally needs three components: Distinctive Element (e.g., "Arctic"), Descriptive Element (e.g., "Logistics"), and a Corporate Designation (e.g., "Ltd.").

Example: Arctic Logistics Ltd. Enter your preferred name, and we will review it against the Nunavut Business Corporations Act standards to ensure it is likely to be approved.

What is a numbered company with a trade name?
The biggest advantage of a numbered company is skipping the Nunavut Name Request step, making incorporation faster and less expensive. This disadvantage (no brand name) is easily resolved by adding a Trade Name. The legal name remains the number, but the public-facing name is the trade name (e.g., 1234 Nunavut Limited operating as Mike Construction).
What are the benefits of a trade name?

A Trade Name (also called an "Operating Name") allows your company to do business under a name different from its legal numbered name.

    • Marketing: Allows you to use a shorter, catchy brand for advertising and signage.
    • Simplicity: It is often easier to open a bank account or apply for municipal permits under a recognizable brand name.
    • Flexibility: One corporation can register multiple trade names for different business branches.

    • Decision Making: You may add additional directors whom you trust to help lead the company.
    • Residency: Nunavut has no Canadian residency requirement for directors; they can be residents of any country in the world.
Can I add or remove a director later?

Yes. At least one director must be listed at the time of incorporation. You can update your board information at any time in the future.

    • Process: Changes are made by filing a Notice of Change of Directors (Form 5) with the Nunavut Legal Registries.
    • Maintenance: If you opt for our Complete Maintenance package, these director changes and government filings are handled by our team at no additional service cost.

Are you incorporating on behalf of a alient?

What is standard clause in the articles?

Standard provisions are used by default in the Articles of Incorporation and the internal By-laws for a wide range of standard Nunavut businesses and everyday operations.

    • Flexible: These clauses are designed to be non-restrictive, allowing your corporation to grow and adapt.
    • Compliant: They meet the basic legal requirements of the Nunavut Business Corporations Act for private (non-distributing) companies.
    May I amend the articles?
Yes. The initial Articles of Incorporation are filed with the government. After incorporation, these articles can be modified by filing Articles of Amendment with the Nunavut Legal Registries, along with the required fees.
What is company bylaws & minutes?

Corporate By-laws are the internal rules and policies of your corporation. Minutes are the formal records of your corporate meetings and decisions.

    • Legal Requirement: Under the BCA, you are required to maintain these as part of your official Corporate Records.
    • Banking: Most financial institutions in Nunavut will require a signed copy of your By-laws to verify who has authority to sign on behalf of the company.
    May I customize share classes?
In the next section, you will be asked to choose share classes. The default structure works for most small businesses, but you may customize the classes, rights, and restrictions to align with a complex ownership or tax plan.
    Is this expense tax creditable?

Yes. Incorporation fees are generally considered deductible business expenses by the Canada Revenue Agency (CRA).

    • Tax Treatment: These are typically categorized as business start-up costs or development expenses.
    • Benefit: You can use these costs to reduce your corporation's taxable income in the fiscal year your business begins operations.
    Share Classes
Creating a personalized share class means creating specific types of shares, such as Class A, Class B, or preferred shares, that offer varying rights, voting capabilities, and financial interests to shareholders. By introducing these unique share classes, you can retain authority over corporate decisions, handle dividend allocations, and dictate how assets are divided in the event of liquidation of the corporation.

    Share Structure

Will it issue Class B non-voting share?

    Help Section

What is share and why need it?
Since a corporation is a separate legal entity from its owners, ownership is established through the issuance of shares. The corporation's capital and equity are divided into units, and each unit is called a share. Owning shares gives you a proportional claim on the company's profits (dividends) and assets.
Can I change share price in future?
For the simplicity of the initial corporate filing, most people set up a low or nominal share price (like $1 per share) at the start. The authorized share capital—including the number of shares and their rights—can be adjusted later by filing Articles of Amendment with Nunavut Legal Registries and updating your internal corporate records.
What is class A and B shares?
Shares are classified to define owner rights. Class A common voting share owners have voting rights to change the corporation's policies and rules. Class B common non-voting share owners do not have such rights, often used for tax planning or investors who do not wish to be involved in management.

    What does shareholder mean?
In simple terms, shareholders are the owners of the corporation. If a corporation has only one shareholder, that individual owns 100% of the corporation, regardless of the total number of shares issued.
How to set up share class?
A corporation has 2 shareholders: John and Mike. Case 1: Both owners have rights to vote: Assign class A to both. Case 2: Only John has voting rights: Assign class A to John and class B to Mike.
How to set up share number?
Share numbers must be whole numbers. Case 1: John, Mike and Ali own same percentage: Assign exact same number to each. Case 2: John owns 40%, Mike owns 30% and Ali owns 30%: Assign shares 40 to John, 30 to Mike and 30 to Ali. Case 3: Avoid decimals by scaling up the proportion. E.g., for 51%, 24.5%, 24.5%, assign 102, 49, and 49 shares.
Can I change share details in future?
Yes. You can change the share price, the number of shares, or the shareholders themselves at any time. This is done by updating your Corporate Registers (internal records) and, if the share structure itself changes, filing Articles of Amendment with Nunavut Legal Registries.

    What is an officer's role?
The corporation's officers (President, CEO, VP, Secretary, etc.) are appointed by the directors to manage the business's daily operations. They are granted the legal authority to act on the corporation's behalf in business-related activities, such as signing contracts and managing bank accounts.
Can one individual be in multiple roles?
Yes. In many new corporations, a single individual holds all roles: Director, Incorporator, Officer, and Shareholder. As your company grows, these roles can be re-distributed among other individuals.
    What are the usual positions/designations?
The designations "President" or "CEO" are typically assigned to the primary director. Other common roles include Secretary (responsible for corporate records) and Treasurer (responsible for finances). In Nunavut, a single person can hold all of these titles simultaneously.

    Help Section

    Who needs a payroll account?

If you hire employees (including yourself if you intend to pay yourself a salary), you need a federal Payroll Account Number (RP0001) from the CRA.

    • Territorial Payroll Tax: Unlike most of Canada, Nunavut levies a 2% Payroll Tax on employee gross remuneration.
    • Employer Duty: You are required to withhold this 2% from all work performed within the territory and remit it to the Government of Nunavut.
    • Tax Planning: Even if you are the sole employee, a payroll account allows you to manage personal tax deductions and RRSP contributions.
    What is import account?

If your business involves importing physical goods from outside Canada, an RM program account is required as part of your Business Number.

    • Customs: The Canada Border Services Agency (CBSA) uses this account to process customs clearance and duties.
    • Efficiency: Registering in advance helps avoid costly delays at the border, which is especially critical for time-sensitive Arctic shipping schedules.
    What is export account?

If your business involves exporting physical goods to markets outside of Canada, an Export Account is required.

    • Compliance: The CBSA uses this to track and process export documentation via the Canadian Export Reporting System (CERS).
    • Documentation: This ensures your business complies with international trade laws and Canadian reporting requirements.
    Do I need WSCC registration?

The Workers’ Safety and Compensation Commission (WSCC) is the joint authority for Nunavut and the Northwest Territories. Registration is mandatory for all employers doing business in the territory.

    • Deadline: You must register within 10 business days of starting operations or hiring your first worker.
    • Liability: Registration provides "no-fault" collective liability protection, shielding your company from lawsuits related to workplace injuries.
    • Coverage: This applies even if you are a temporary contractor or a seasonal business.
    Who needs a GST account?

Nunavut is a "GST-only" jurisdiction; there is no PST or HST. You only collect the 5% federal GST.

    • The $30,000 Threshold: You are legally required to register for a GST Account (RT0001) if your total taxable revenue exceeds $30,000 in a year.
    • ITCs: Many Nunavut businesses register voluntarily (even if below the threshold) to claim Input Tax Credits, allowing them to recover the 5% GST paid on high-cost startup expenses and shipping.

    • Complete Maintenance: Our most popular plan, which includes the Annual Return, ongoing Phone Support, and the processing of all required Notices of Change.
Why do I need Annual Return?

An Annual Return must be filed with the Nunavut Legal Registries every year for every corporation, regardless of whether the company was active or profitable.

    • Deadline: The return is due within 60 days of your corporation's anniversary date.
    • Good Standing: This filing is required to maintain your "Active" status. Without it, you cannot obtain a Certificate of Status for banking or contracts.
    • Dissolution: If a corporation fails to file for two consecutive years, the Registrar may strike it off the register, effectively dissolving the company.
    What is domain name?

We recommend reserving a domain name that matches your business name immediately. In the digital age, your web address is as important as your registration.

    • Brand Protection: Securing your domain prevents competitors from using your name online.
    • Localized Presence: We suggest securing the .ca version to highlight your Canadian and Northern identity.
    What is Business Email address?

A Business Email Address uses your custom domain (e.g., info@yourcompany.ca) rather than a generic provider like Gmail.

    • Professionalism: It builds immediate trust with clients, suppliers, and government agencies.
    • Control: It allows you to manage multiple addresses for different departments (e.g., sales@, billing@) under one professional brand.
