Is It a one-time fee?

Yes, the incorporation fee is a one-time payment. However, all N.L. corporations have ongoing yearly obligations:

  • Annual Return: You must file an Annual Return with the Registry of Companies every year to maintain "Active" status.
  • Deadline: This is generally due on the anniversary of your incorporation.
  • Compliance: Failure to file will lead to the company being struck from the registry, making it unable to legally conduct business.
Are the corporate documents legally valid?

Absolutely. Your Certificate of Incorporation and Articles of Incorporation are official legal documents issued by the Government of Newfoundland and Labrador under the Business Corporations Act.

How will I receive the documents?

    What is a numbered company?

    When incorporating, a company is assigned a unique incorporation number. If you choose not to reserve a custom name, this number becomes its official legal name—for example, 12345 Newfoundland & Labrador Inc.

    • Efficiency: It allows you to skip the mandatory Name Reservation (Name Approval) process, which is the fastest way to register.
    What is a Named Corporation?

    A Named Corporation allows you to select a custom business name (e.g., XYZ Name Ltd.). This requires a $10.00 name reservation fee and approval from the Registry.

    Why name approval is required?

    A Name Reservation is the mandatory first step for any corporation using a custom word name. It ensures your chosen name is not identical or confusingly similar to an existing business already registered in the province.

    • N.L. Registry: The Registry of Companies checks for name availability exclusively within Newfoundland and Labrador.
    • Validity: Once approved, the name is reserved for 90 days, giving you time to file your Articles of Incorporation.
    • First Step: This must be completed before you can proceed with a "Named" online incorporation.
    Any rules for corporation's name?

    A corporate name in N.L. must consist of three distinct elements to be approved: Distinctive, Descriptive, and Legal.

    Each director has equal power and control over the corporation, exercised through a majority vote. The directors are the "operating mind" of the company, responsible for managing its business and affairs.

    In simple language, the shareholders are the owners of the corporation. If a corporation has 1 shareholder, regardless of the number of shares, the single shareholder owns 100% of the corporation.
    How to set up share class?
    A corporation has 2 shareholders: John and Mike. Case 1: Both owners have rights to vote: Assign class A to both. Case 2: Only John has voting rights: Assign class A to John and class B to Mike.
    How to set up share number?
    Share numbers must be whole numbers. Case 1: John, Mike and Ali own same percentage: Assign exact same number to each. Case 2: John owns 40%, Mike owns 30% and Ali owns 30%: Assign shares 40 to John, 30 to Mike and 30 to Ali. Case 3: Avoid decimals by scaling up the proportion. E.g., for 51%, 24.5%, 24.5%, assign 102, 49, and 49 shares.

    Yes. You can change share price, share number, and shareholders at any time by filing the appropriate corporate documents and updating the central share register (corporate records).

    When do I need a Newfoundland HST account?

    You need to register and begin collecting the 15% HST as soon as you are no longer a small supplier. This applies to selling or leasing goods, providing professional services (legal, software), or offering short-term accommodations.

    • Input Tax Credits (ITCs): Even if you earn less than $30,000, we recommend Voluntary Registration. This allows you to claim back the 15% HST you pay on your own business expenses, such as equipment, office rent, and utility bills.
    • Place of Supply: If you are based in N.L. but sell to a customer in Alberta, you only charge 5% GST. If you sell to a customer in Ontario, you charge 13% HST. The rate is determined by where the customer receives the product or service.

    If you hire employees—including yourself if you intend to pay yourself a salary—you need a federal Payroll Account Number (RP0001) from the CRA.
