If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your order and refuse any current or future use of our Services (or any portion thereof).
USERSโ RESTRICTIONS
By using this Website, you expressly agree and acknowledge that you are solely responsible for the activities that occur when you use our Site or Services. You are not allowed to transmit or post any content that is unlawful, offensive, threatening, defamatory or obscene.

USERSโ IDENTITY VERIFICATION AND AUTHORIZATION FOR PAYMENT
Incorporation Agency follows the standard rules of Identity Verification according to Canadian law including the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable anti-money laundering regulations. We are required to verify the identity of a payer if they are not the Director, Incorporator, or partner of the business, etc. In those circumstances, Incorporation Agency will not process an order or offer a service, until a successful Identity Verification of the payer is completed and Consent of Authorization for the payment have been obtained. Furthermore, if there is a requirement regarding a payment clearance from the government or another agency, our company will also require the payer to send Identity Verification and Consent Authorization.
USERSโ DATA
We will maintain certain data that you transmit to the Services for the purpose of managing the performance of the Services, as well as data relating to your use of the Services. Although we perform regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Services. You agree that we shall have no liability to you for any loss or corruption of any such data, and you hereby waive any right of action against us arising from any such loss or corruption of such data.
Data Retention
Incorporation Agency retains customer information for varying periods based on the nature of the data and applicable legal requirements. Our retention schedule is as follows:
Financial Records: We retain billing information and credit card transaction records for a period of six (6) years from the date of transaction to comply with tax and accounting requirements under Canadian law.
Order Documentation: Documents collected or generated in connection with any orders, including government forms, incorporation documents, and related materials, are available (In digital form) at no additional charge for up to ninety (90) days following the completion of the order. After this 90-day period, document requests fall outside the scope of the original service. If you require assistance retrieving documents after this time, a new service request and applicable fees will apply.
PRODUCTS AND SERVICES
At Incorporation Agency we are committed to delivering excellent customer service and products to our customers. Our Company prides itself on getting our customersโ satisfaction with our services and products delivered. We make every effort to display with accuracy the features, specifications, colours and details of the products available on the Website. However, we cannot certify that all the information provided on our Website is correct, complete or free of errors. Our products and services are subject to availability, and we cannot assure that the items or products will be available.
We reserve the right to discontinue any products or services on our Website, at any time for any reason. Prices for all products are subject to change.
Address Service
Service Description: The Address Service enables Users who do not maintain a physical address in a required jurisdiction to utilize an address provided by Incorporation Agency solely for business registration purposes. This Service is strictly limited to satisfying registration requirements and shall not be used for business operations.
Service Agreement Required: To activate the Address Service, Users must execute a separate Address Service Agreement with Incorporation Agency. This Agreement contains additional terms and conditions specific to the Address Service and constitutes Incorporation Agency‘s formal consent for the User to utilize the provided address. The Address Service shall not be deemed active until such Agreement is fully executed by both parties.
Mail Scanning Service: The Address Service includes a mail scanning service with the following limitations:
- Only official government correspondence will be accepted, scanned, and forwarded digitally to the User
- All other mail, including but not limited to bank statements, personal correspondence, marketing materials, and packages, will be refused and returned to sender
- Incorporation Agency assumes no liability for refused mail or any consequences arising from such refusal
Subscription and Renewal: The Address Service is provided on an annual subscription basis. Users must renew the Service each year to maintain an active address. The renewal fee must be paid on or before the expiry date to ensure continuous service.
Non-Payment Consequences: If payment for renewal is not received within thirty (30) days after the expiry date:
- The outstanding amount will be sent to a collection agency
- Incorporation Agency will notify the relevant government authorities that the business is using the address without authorization
- The User will be notified via phone and email before such actions are taken
- The User may face legal consequences for unauthorized use of the address
Agent Service (Agent for Service/Attorney Service)
Service Description: The Agent Service satisfies governmental requirements in certain jurisdictions that mandate a local resident act as a representative for businesses. This Service enables Users who are not residents of the required jurisdiction to register their business by appointing Incorporation Agency‘s designated agent as their representative solely for registration and statutory purposes.
Service Agreement Required: The Agent Service requires execution of a separate Agent Service Agreement between the User and Incorporation Agency. This Agreement contains additional terms and conditions governing the agent relationship and includes Incorporation Agency‘s consent to act as the User’s agent for service. The Agent Service shall not commence until the Agent Service Agreement is fully executed by both parties.
Scope and Limitations: The Agent Service is strictly limited to meeting registration requirements and receiving official government correspondence. The appointed agent does not have authority to:
- Conduct business operations on behalf of the User
- Enter into contracts or agreements
- Make business decisions
- Represent the User in any capacity beyond statutory requirements
Subscription Terms: The Agent Service operates under the same subscription model as the Address Service, requiring annual renewal and payment. All terms regarding renewal, non-payment consequences, and notification procedures outlined in Section 8.1 shall apply equally to the Agent Service.
Government Information and Documentation Fees
Business Number: Upon successful registration, a Business Number is typically generated automatically by the government. While this number is issued at no cost by the government, Incorporation Agency charges a service fee to retrieve, process, and securely deliver this information to the User.
Company Key (Ontario) and Similar Identifiers: In Ontario, a Company Key is automatically generated upon incorporation. Other jurisdictions may issue similar codes, identifiers, or passwords. While these are generated at no cost by the government, Incorporation Agency charges a service fee for:
- Retrieving these credentials from government systems
- Securing and safeguarding this sensitive information
- Delivering the information through secure channels
- Providing guidance on proper usage and security
Fee Justification: These service fees compensate Incorporation Agency for the time, expertise, and secure systems required to obtain and deliver government-issued information that Users may otherwise need to retrieve themselves through government channels.
PURCHASES AND PAYMENT
The prices of the services or products on this Website are delivered in Canadian currency (CAD).
We accept the following forms of payment:

By ordering our Services or Products you agree to provide your current, complete, and accurate information for all purchases, such as your email address, payment method, credit card information, etc. Once we receive your payment information, we will email you to confirm your transaction has been processed. You further agree to make all the payments for your purchase and any applicable shipping charges, if applicable.
By placing an order on our Website, you accept that we may make errors or mistakes in the orders and will make the corrections to the pricing accordingly.
We reserve the right to reject any order placed on our Website if we consider there is a discrepancy, a possible scam or does not meet our verification requirements.
SERVICE TERM AND TERMINATION
These Legal Terms shall remain in full force and effect while you use our Services or products. WITHOUT LIMITING ANY OTHER PROVISION OF THESE LEGAL TERMS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SERVICES (INCLUDING BLOCKING CERTAIN IP ADDRESSES), TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE LEGAL TERMS OR OF ANY APPLICABLE LAW OR REGULATION. WE MAY TERMINATE YOUR USE OR PARTICIPATION IN THE SERVICES OR PRODUCTS AND ANY CONTENT OR INFORMATION THAT YOU POSTED AT ANY TIME, WITHOUT WARNING, IN OUR SOLE DISCRETION.
The Agreement of services or our products starts the day you request our services or products, and it can expire or terminate, depending on the nature of the product or service we provided.
Termination:
An agreement terminates when the parties do not reach the end of the agreement but one of them desires to terminate it because the other party violated the provisions of this Policy. In this case, it may be possible for the party to get a refund, depending on the type of service or product provided.
In the following cases we may decide to terminate our services with you:
- If you place an order with us but you violate our Agreement;
- If we cannot verify your identity;
- If we believe there is any suspicious activity on your part; and
- If you do not provide the documentation we request from you in a timely manner.
Expiration:
When an agreement expires, it is the “end” of the contract and there cannot be a refund, as the agreement has already expired. The service is valid for a certain period and once the time arrives, the agreement expires.
SERVICE LIMITATION AND EXPIRATION
Suspension and Termination
In the case that Incorporation Agency notices any issue with an order, and there are any possible risks, consistent and material violations of policies, Incorporation Agency reserves the right to suspend or terminate the service if it is mandatory by law.
Abandoned Orders
In the event that Incorporation Agency requires additional information or documentation from a User to complete an order, and the User fails to respond to our communication attempts, the following protocol shall apply:
Communication Timeline: When we require a response from the User to proceed with an order, Incorporation Agency will contact the User via phone and email. If no response is received within seven (7) days of the initial contact, we will send a second reminder. If the User still fails to respond, a third and final reminder will be sent, which will include a deadline of an additional seven (7) days for the User to respond.
Order Abandonment: If the User fails to respond within twenty-eight (28) days from our initial contact attempt, the order shall be deemed abandoned and Incorporation Agency will close the order. No refunds will be issued for abandoned orders, as the abandonment is due to the User’s failure to provide necessary cooperation to complete the Services.
Reactivation: Should the User contact Incorporation Agency after an order has been deemed abandoned, we reserve the right, in our sole discretion, to refuse reactivation of the order. If we agree to reactivate an abandoned order, the User may be required to pay a reactivation fee in addition to any outstanding amounts before Services can resume from the point of abandonment.
REFUND POLICY
Thank you for your shopping at Incorporation Agency. We hope you are happy with your purchase. We strive to ensure that you are fully satisfied with our services and products. Before placing an order with us, please review this Policy, to make sure you are satisfied with our Return and Refund Policy.
Please call us immediately or within 30 minutes of placing your order. We will review your order and determine on a case by case basis if the return can be available.
Non-Refundable Fees
Please note that due to the nature of the service or products, the following services and products are non-refundable:
- Agency/Service/Incorporation Agency Fees
- Name Search & Analysis Fees
- Specialist Review Fees
- NUANS Report Fees
- Name Approval Fees
- Document Retrieval Fees
Refundable Fees Under Certain Conditions
Depending on the period of the service, we can provide a refund in the following circumstances:
- Government Fees: Only if filing has not been submitted to the government yet.
- Draft Fees: Only if a draft has not been sent for approval via email yet.
- Company Key Retrieval Fees: Only if company key has not been requested from the government yet.
- Shipping Fees: If the shipping department has not started preparing the physical items for shipping yet.
- Future Date Fees: If a future date was not used for filing.
Add-on Services
A full refund for the following services can be accepted under these conditions:
- Minute Book: If the minute book has not been prepared.
- Initial Return Filing: If the Initial Return filing has not been submitted to the government yet.
- Annual Return/Declaration: If the annual return/declaration filing has not been submitted to the government yet.
- Company Key: If the company key has not been provided via email yet.
- Domain/Email: If the domain or email addresses have not been registered yet.
- Google Listing: If the process of the Google Listing application has not started yet.
- Business Number: If the business number has not been provided via email yet.
- GST/PST/Payroll/WCB Account Setup: If consent has been given to proceed with CRA registrations.
- Share Certificate: If the Share Certificate has not been prepared.
- Corporate Seal: If the corporate seal has not been prepared.
- Trademark Pre-Submission Fees: If no search or analysis have been completed for the proposed trademark.
- Trademark Post-Submission Fees: If the trademark application has not been submitted to the government.
Chargeback & Disputes
In the event that a chargeback is initiated by a User for any of our Products or Services, the following procedures shall apply:
Chargeback Notification and Communication: Upon receiving notice of a chargeback, Incorporation Agency will make reasonable efforts to contact the User through the contact information provided during the order process. We will attempt to resolve the matter directly with the User before proceeding with formal dispute procedures.
Dispute Response Process: If we are unable to reach a mutually acceptable resolution with the User, or if the User fails to respond to our communication attempts within a reasonable timeframe, Incorporation Agency reserves the right to respond to the chargeback dispute through the appropriate payment processor channels. In responding to such disputes, we may provide relevant evidence including but not limited to:
- Government documents prepared, submitted, or received on behalf of the User
- Proof of any physical goods prepared or shipped
- Email correspondence and order confirmations
- Payment transaction details and receipts
- Recorded phone conversations
- Any other documentation relevant to the transaction
Dispute Resolution Outcomes: If the chargeback dispute is resolved in favor of Incorporation Agency, the transaction and all related matters shall be considered fully resolved and the User will remain responsible for all amounts due. If the chargeback dispute is resolved in favor of the User, Incorporation Agency reserves the right to pursue collection of any outstanding amounts for Services already rendered or products already delivered, including but not limited to referring the matter to a third-party collection agency and reporting the debt to credit bureaus as permitted by law.
Conditions for Dispute Resolution: As a condition of resolving any dispute, Incorporation Agency reserves the right to require the User to enter into a Non-Disparagement Agreement. Such agreement may include provisions restricting the User from making negative, defamatory, or disparaging statements about Incorporation Agency, its Services, Products, employees, or business practices on any platform, including but not limited to social media, review websites, or other public forums.
THIRD-PARTY WEBSITES AND CONTENT
Our Website may contain (or you may be sent via the Site) links to other websites (โThird-Party Websitesโ) as well as articles, photographs, text, graphics, pictures, designs, music, sound, video, information, applications, software, and other content or items belonging to or originating from third parties (โThird-Party Contentโ). Incorporation Agency does not investigate, examine or check the content of those Websites. Therefore, we are not responsible for those Sites’ practices, policies and content.

- Death or personal injury caused by our negligence;

Incorporation Agencyโs total cumulative liability for any claim under this Agreement shall be limited to the amount paid by the Claimant to the Company in the 12 months preceding the event giving rise to the liability issue.

- Government approval of any registration or incorporation
- Specific processing timelines by federal or provincial authorities
- Availability of requested business names or trade names
- Acceptance of filed documents by regulatory bodies
- The ongoing compliance or success of registered businesses
All outcomes depend on factors outside our control, including government policies, regulatory requirements, and the accuracy of information provided by clients. Our services are limited to document preparation and submission assistance only.
INDEMNIFICATION
You agree to defend, indemnify, and hold us harmless Incorporation Agency from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneysโ fees) arising out of or in connection with any third party claim related to the products or servicesโ quality or performance, or your use of any information obtained from our Website.
WAIVER AND SEVERABILITY
If any provision of these Terms and Conditions is found to be unenforceable under applicable law, that will not affect the enforceability of the other provisions of this Terms & Conditions.

FORCE MAJEURE
Neither party shall be liable to the other for any failure or delay in performance under these Terms and Conditions which is due to fire, flood, earthquake, pandemic, governmental action, war, terrorism, embargo, acts of civil or military authorities, act of God, act or omission of carriers or suppliers, equipment failure, strike, labor dispute, or other causes beyond its reasonable control, provided that such party promptly notifies the other and uses its best efforts to remedy the situation.
The party affected by the force majeure event shall:
- Promptly notify the other party in writing of the force majeure event;
- Provide full particulars of the event and its expected duration;
- Use all reasonable efforts to mitigate the effects of the force majeure event;
- Resume performance of its obligations as soon as reasonably practicable after the force majeure event ceases.
If a force majeure event prevents a party from performing its obligations for more than sixty (60) consecutive days, either party may terminate the affected services upon written notice to the other party.
For clarity, force majeure shall not excuse the obligation to pay money owed under these Terms and Conditions unless the force majeure event specifically prevents such payment.
ASSIGNMENT
You may not assign or transfer these Legal Terms or any of your rights or obligations hereunder, in whole or in part, by operation of law or otherwise, without our prior written consent. We may assign these Legal Terms or any of our rights or obligations at any time without notice or consent. Any attempted assignment in violation of this section shall be null and void.
ENTIRE AGREEMENT
